By accessing or using the roguebiolabs.com website (the “Website”), or purchasing any roguebiolabs.com (“roguebiolabs.com,” “we,” “our,” or
“us”) products, you (the “Customer,” “you,” or “your”) affirm that you are at least 21 years of age and agree to
be bound by these Terms and Conditions of Service (the “Terms”) in their entirety. By purchasing or using any
product from the Website, you acknowledge that you have read, understood, and accepted the following Research
Use and Compliance Disclaimer.
ACCESS DISCLAIMER AND ACCEPTANCE OF TERMS

following terms:

PRODUCT PURPOSE AND USE
All products sold by roguebiolabs.com are intended for laboratory research purposes only, and are not for human or animal
consumption. The products are not intended to diagnose, treat, cure, or prevent any disease. The products should
not be used as a food, drug, cosmetic, or for other household use.
CUSTOMER REPRESENTATIONS AND WARRANTIES
By purchasing from roguebiolabs.com, you represent and warrant that:
- You are at least 21 years of age.
- You are a qualified researcher or operate within a controlled laboratory environment.
- You understand the health and safety hazards associated with handling laboratory chemicals and compounds.
- You have the necessary knowledge, training, equipment, and facilities to safely handle these materials.
- You will comply with all applicable local, state, federal, and international laws regarding the purchase,
possession, and use of research materials.
- You understand that certain compounds may not be listed on the Toxic Substances Control Act (TSCA)
inventory, and you accept full responsibility for verifying compliance for your intended use.
roguebiolabs.com reserves the right to deny access to the Website and sales of products to any underage or unqualified
individuals.
FDA AND LEGAL DISCLAIMER
The statements and information provided on the Website have not been evaluated by the U.S. Food and Drug
Administration (FDA). Products sold by roguebiolabs.com or on the Website are not intended to diagnose, treat, cure, or
prevent any disease; and no information on the Website should be construed as medical advice. roguebiolabs.com is a
research-use-only (roguebiolabs) chemical supplier and not a compounding pharmacy, medical provider, or outsourcing
facility under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act. All products are labeled and
marketed for research use only.
BLACKLIST – ZERO-TOLERANCE POLICY
Any communication by the Customer which leads us to believe that the Customer will use or intends to use our
products in a manner other than that for which they are intended will result in a “Refusal to Sell” alert or a
“Blacklist” email being sent to the Customer. This means the Customer will no longer be able to make purchases
on the Website. All collected information will be added to our internal “Banned” database, which every order is
checked against. If the Customer receives a ban, it is permanent. roguebiolabs.com will not, under any circumstances,
tolerate the misuse of the Website or the products sold on the Website.
The following Prohibited Uses will not be tolerated and will land you on our Blacklist, which, as mentioned, is a
lifetime ban. The products shall NOT be used for:
- Human or animal consumption;
- Diagnostic, therapeutic, or clinical applications;
- Compounding under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act;
- Performance enhancement or aesthetic purposes;
- Any consumer, agricultural, or commercial applications; or
- Educational demonstrations involving human or animal subjects.
Please note that the foregoing list is not exhaustive, and roguebiolabs.com reserves the right to suspend or terminate the
Customer’s account at any time, with or without notice, if the Customer violates these Terms or if we believe
the Customer has violated or intends to violate these Terms.
NO GUIDANCE; AFFILIATION
roguebiolabs.com assumes that the Customer is familiar with the products being purchased, and does not provide any type of
guidelines or suggestions regarding use of the products. If a Customer asks us for such information, then the
Customer will be answered with a “Refusal to Provide Guidelines” email. The Customer acknowledges that any
request for usage guidelines may be considered evidence of lack of qualification and may result in order
cancellation and/or account termination.
The Customer represents and warrants that the Customer is affiliated with a laboratory, institution, university,
or other research-based facility which is purchasing and using the products sold by roguebiolabs.com for research
purposes only. roguebiolabs.com reserves the right to perform due diligence screening upon receiving an order, and
roguebiolabs.com, in its sole and absolute discretion, may require verification of affiliation prior to order
fulfillment. The Customer agrees to provide such verification within five (5) business days of request. Failure
to provide verification within this timeframe shall result in automatic order cancellation without refund of any
deposits or fees paid.
USE OF THE WEBSITE
Unless otherwise specified, the Customer’s use of the Website is governed by these Terms. In using the Website,
the Customer is prohibited from modifying, distributing, transmitting, reproducing, publishing, licensing,
transferring, or selling any information, products, or services obtained or viewed on the Website. The Customer
may, however, display, download, or print hard copies of any material contained on the Website for the
Customer’s own internal, non-commercial research use, as long as the Customer does not modify the content or
delete any copyright, trademark, or other proprietary notice. Any other use of the information contained on the
Website is prohibited without our express prior written consent. Unauthorized use may result in immediate
account termination and legal action.
MODIFICATIONS TO THE WEBSITE
We reserve the right to correct any inaccuracies or typographical errors in the information posted on the Website
and shall have no liability for such inaccuracies or errors. Information may be changed or updated without
notice, and prices and availability of products are also subject to change without notice. We shall not be
liable to the Customer or to any third-party for any modification, price change, suspension, or discontinuance
of the sale of any product.
AVAILABILITY OF THE WEBSITE
We do not guarantee, represent, or warrant that the Customer’s use of the Website will be uninterrupted, timely,
secure, or error-free. From time to time we may remove the Website for indefinite periods of time without notice
to the Customer. The Customer’s use of, or inability to use, the Website is at the Customer’s sole risk. The
Website and all products offered for sale through the Website are (except as expressly stated by us) provided
“AS IS” and “AS AVAILABLE” for the Customer’s use, without any representation, warranties, or conditions of any
kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable
quality, fitness for a particular purpose, durability, title, and non-infringement.
ORDERS, PRICING, AND PAYMENT
The Customer agrees to provide current, complete, and accurate purchase information, including payment and
contact information, for all purchases made on the Website. We reserve the right to refuse or cancel any order
at our sole discretion, including after payment has been received. In the event of order cancellation, our sole
obligation shall be to refund the purchase price paid, and we shall have no liability for any consequential,
incidental, or indirect damages.
Order Acceptance
- Prices on the Website are invitations to conduct business, not binding offers
- All customers must be 21 years of age to place an order or make a purchase
- The Customer’s purchase order constitutes an offer
- A contract is formed only upon our written confirmation of acceptance of the Customer’s order, which may be
provided via email or through the Website
- We expressly reject any conflicting or additional terms in the Customer’s purchase orders, invoices, or
other documents, and any such terms shall be void and of no effect. These Terms constitute the entire
agreement between the parties and may only be modified by a written amendment signed by an authorized
representative of roguebiolabs.com.
Pricing and Taxes
- All prices are in USD, unless otherwise specified
- Prices exclude taxes, duties, and shipping charges
- Prices are subject to change without notice
- The Customer is responsible for all applicable taxes
Payment Methods
We accept:
- Major credit cards (Visa, Mastercard, American Express, Discover)
- ACH/wire transfers
- Cryptocurrency (BTC, ETH, USDT) through compliant providers
Payment Terms
- ALL SALES ARE FINAL
- Orders are non-cancellable once payment is processed
- We do not accept refunds, except on products with verified manufacturing defects
- Late payments accrue interest at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by
applicable law, whichever is lower
Chargeback Policy
If the Customer initiates a chargeback without first contacting cs@roguebiolabs.com in writing and allowing roguebiolabs.com thirty
(30) business days to investigate and attempt to resolve the dispute in good faith, the Customer agrees that
such action may be considered a material breach of these Terms, and roguebiolabs.com reserves the right to pursue the
following remedies:
- Immediate account termination
- Collections proceedings, including attorneys’ fees
- A $2,500 liquidated damages fee
- Reporting to regulatory authorities
SHIPPING AND DELIVERY
Delivery Restrictions
- The Customer is responsible for providing accurate and complete shipping information. roguebiolabs.com shall not be
liable for delays, losses, or costs associated with reshipments that result directly from incorrect or
incomplete addresses provided by the Customer at checkout. roguebiolabs.com will make reasonable efforts to notify
the Customer of any apparent address issues prior to shipment.
- Shipping is limited to the continental United States only
- We use UPS and FedEx exclusively
- We may refuse high-risk addresses
Material Transfer Agreement
- Each order requires the Customer’s execution and return of roguebiolabs.com’s Material Transfer Agreement (MTA), the
current version of which is available at https://roguebiolabs.com/mta/. The MTA in effect at the time of order
placement shall govern the transaction.
- The MTA is incorporated by reference into these Terms.
RETURNS AND REFUNDS POLICY
ALL SALES ARE FINAL
Due to the nature of research chemicals, and safety and contamination risks:
- NO RETURNS OR REFUNDS (with the exception of verified manufacturing defects)
- No cancellations after payment
- No exchanges
- Due to safety and contamination risks, all sales are final. Returns, refunds, or exchanges are not accepted
once an order is placed.
Inspection Requirements
The Customer must:
- Inspect shipments immediately upon receipt
- Report any issues in writing to cs@roguebiolabs.com within seven (7) calendar days of delivery, with such notice
deemed given upon sending
- Provide photographic evidence and, where applicable and reasonably available, analytical data supporting the
claim
Limited Remedy
For verified manufacturing defects only, at our discretion we may issue:
- A replacement with conforming product, OR
- Credit toward future purchase, BUT
- Cash refunds are not available except as may be required by applicable law
PRODUCT DISCLAIMER
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR AS REQUIRED BY APPLICABLE LAW, PRODUCTS ARE PROVIDED “AS IS”
WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS
FOR A PARTICULAR PURPOSE.
NO GUARANTEE OF RESULTS
roguebiolabs.com makes no representation regarding:
- Experimental outcomes
- Product performance in specific applications
- Batch-to-batch consistency beyond specifications
LIMITATION OF LIABILITY
roguebiolabs.com’s total liability shall not exceed the purchase price of the specific product. We are not liable for:
- Indirect, consequential, or incidental damages
- Lost profits or business interruption
- Personal injury after title transfer
- Damages exceeding $500 in any case, except where such limitation is prohibited by applicable law
WAIVER OF LIABILITY AND INDEMNIFICATION
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL roguebiolabs.com OR ITS OWNERS, MEMBERS, MANAGERS, OFFICERS,
EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE WEBSITE, RELIANCE ON INFORMATION
PROVIDED ON THE WEBSITE, OR THE USE, MISUSE, HANDLING, OR STORAGE OF OUR PRODUCTS, WHETHER CAUSED BY TORT
(INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
In direct consideration of the sale, the Customer agrees to indemnify, defend, and hold harmless roguebiolabs.com, its
owners, members, managers, employees, affiliates, and agents from any claims, losses, liabilities, or expenses
(including attorneys’ fees) arising from the Customer’s use of the Website; the Customer’s handling, misuse, or
transfer of any product; or from any violation of these Terms. This indemnification includes any action taken by
a third party resulting from the Customer’s actions or omissions.
INTELLECTUAL PROPERTY
The listing of a product on the Website does not grant or imply any license to use it in violation of any
existing patents. All trademarks, logos, and brand names displayed on the Website remain the property of their
respective owners.
Ownership
roguebiolabs.com owns all intellectual property rights in:
- Website content and design
- Product formulations and synthesis methods
- Trademarks and trade names
- Technical documentation
Restrictions
The Customer shall not:
- Reverse engineer products

- Use automated means (including bots, scrapers, or similar data mining tools) to access, scrape, or harvest

The Customer receives a non-exclusive, non-transferable, revocable license to use the products solely for
internal research purposes in accordance with these Terms. All intellectual property rights in the products
remain with roguebiolabs.com. The Customer may access and use the Website solely for the purpose of ordering products and
receiving related services. The Customer shall not copy, reproduce, republish, upload, post, publicly display,

AFFILIATE PROGRAM TERMS (IF APPLICABLE)
roguebiolabs.com reserves the right to modify or terminate its affiliate program or terms at any time in its sole
discretion, with or without notice. Violations of affiliate program policies, including, but not limited to:
- Promoting on third-party discount code or coupon websites,
- Engaging in self-purchases to earn commission, or
- Violating Affiliate Program Guidelines
will result in immediate termination of the affiliate account and forfeiture of any unpaid commissions, without
any refund or compensation. Terminated affiliates are permanently barred from re-enrolling in the program.
roguebiolabs.com’s determination of a violation shall be final and binding.
GOVERNING LAW AND JURISDICTION; DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to
its conflict of law principles. The parties agree to attempt, in good faith, to resolve any dispute related to
these Terms through informal negotiation for thirty (30) days prior to commencing any formal dispute resolution
proceedings. Failure to comply with this informal negotiation requirement shall result in dismissal of any
arbitration or court proceeding without prejudice, and the non-complying party shall bear all costs and fees
incurred by the other party in connection with such premature filing. Any unresolved disputes arising out of or
relating to these Terms, including disputes regarding the validity, interpretation, breach, or termination of
these Terms, shall be finally resolved by binding arbitration administered by the American Arbitration
Association (AAA) in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be
conducted in Wyoming, and judgment on the arbitration award may be entered in any court having jurisdiction.
Each party shall bear its own costs and attorneys’ fees; provided, however, that the prevailing party in any
arbitration or litigation shall be entitled to recover its reasonable attorneys’ fees and costs from the
non-prevailing party. Notwithstanding the foregoing, roguebiolabs.com may seek injunctive or other equitable relief in
any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to
enforce payment obligations, without the requirement of posting a bond. The Customer may seek injunctive relief
only in Wyoming state or federal courts.
ENTIRE AGREEMENT
These Terms and any terms and agreements expressly incorporated herein by reference constitute the sole and
entire agreement between you and roguebiolabs.com regarding the Website and the purchase and use of products, and
supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both
written and oral, relating to the subject matter hereof. No amendment, modification, or waiver of any provision
of these Terms shall be effective unless in writing and signed by an authorized officer of roguebiolabs.com. Any waiver
of a breach of these Terms shall not constitute a waiver of any subsequent breach.
CHANGES TO TERMS
roguebiolabs.com reserves the right to update, modify, or replace any part of these Terms at any time in its sole
discretion. Changes will be posted on this webpage and, for material changes, roguebiolabs.com may provide notice via
email to the address associated with your account. Changes will become effective immediately upon posting unless
otherwise specified. It is your responsibility to check this webpage periodically for changes. Your continued
use of or access to the Website or purchase of products following the posting of any changes constitutes your
acceptance of and agreement to the modified terms. If you do not agree to the modified terms, your sole remedy
is to discontinue use of the Website and products.
SEVERABILITY
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid,
illegal, or unenforceable for any reason, such provision shall be reformed to the minimum extent necessary to
make it valid and enforceable while preserving its intent, or if such reformation is not possible, such
provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms
will continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the
validity or enforceability of any other provision.
HEADINGS
The headings contained in these Terms are for reference only.
FORCE MAJEURE
roguebiolabs.com shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable
control, including, without limitation, acts of God, war, terrorism, civil unrest, government actions, labor
disputes, supplier failures, transportation disruptions, delays due to back orders of requested products, mail
delays, customs delays, or lost shipments. roguebiolabs.com shall not be responsible to notify the Customer in the event
of such delays, though it may do so as a courtesy. The Customer shall be solely responsible to make other
arrangements to purchase alternative products and cover any costs incurred in connection with such purchases. In
the event of a force majeure lasting more than ninety (90) days, either party may terminate the affected order
without liability.
